1. Acceptance of Terms

By creating an account or using Luna, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

These terms constitute a binding agreement between you and Irenium (operating as Luna), a company registered in Nigeria.

2. Description of Service

Luna is a web-based invoicing tool that helps Nigerian freelancers and small businesses create professional invoices and send them to clients directly via WhatsApp. Luna uses the WhatsApp Cloud API (provided by Meta) to deliver messages.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice to registered users.

3. Account Registration & Eligibility

To use Luna you must:

  • Be at least 18 years of age.
  • Provide accurate, current, and complete registration information.
  • Maintain the security of your account credentials.
  • Notify us immediately if you suspect unauthorised access to your account.

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use Luna to:

  • Send unsolicited messages (spam) or bulk messages to people who have not engaged with your business.
  • Create or send fraudulent, misleading, or illegal invoices.
  • Violate WhatsApp's Business Policy or Meta's Terms of Service.
  • Impersonate another person or entity.
  • Engage in any activity that could damage, disable, or impair the Luna service.
  • Use the service for any unlawful purpose under Nigerian law or applicable international law.

Violation of this section may result in immediate account suspension or termination without refund.

5. Payments & Billing

Certain features of Luna may require a paid subscription. Pricing, billing cycles, and plan details are described on the Luna pricing page and during the checkout process.

  • Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan).
  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period; no partial refunds are issued for unused time.
  • We reserve the right to change pricing with at least 30 days' notice to active subscribers.

6. Intellectual Property

Luna and all related technology, design, and content are owned by Irenium and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the service for your own business purposes.

You retain ownership of all invoice content and data you create through Luna. By using the service you grant Irenium a limited licence to process this data solely to provide and improve Luna.

7. Disclaimer of Warranties

Luna is provided "as is" and "as available" without warranty of any kind. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the service is at your own risk.

8. Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, Irenium will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Luna, including but not limited to loss of revenue, loss of data, or loss of business opportunities.

Our total liability to you for any claim arising out of these terms or your use of Luna will not exceed the total amount you paid to Irenium in the 12 months preceding the claim.

9. Termination

You may close your account at any time from your account settings. We may suspend or terminate your account if you violate these terms, with or without prior notice depending on the severity of the violation.

Upon termination, your right to use Luna ends immediately. Data deletion is handled in accordance with our Privacy Policy.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the courts of Nigeria.
